These terms amount to a legally binding agreement between you (also known as the “Client”) and Sense and Forum (also known as “we”, “us” and “our”) governing the use of our website and terms and conditions of service as a marketing consultancy and provider of courses and community membership.

By using our services, you are agreeing to be bound by these terms, our privacy policy and other requirements, which are incorporated within these terms. These terms are to be read in conjunction with any terms set out within a pre-existing retainer that you may have with us.

You further agree that you have authority to accept these terms and to use our services. If you do not wish to be bound by these terms or if you do not agree with the terms then we are unable to provide our services to you.

Unless the context requires otherwise, reference to the singular includes the plural and vice versa.

The headings contained in these terms in bold font are for assistance only and do not affect the interpretation or meaning.

The contract

These terms constitute the contract between Sense and Forum and the Client.

For the avoidance of doubt, these terms will apply whether or not the Client or a potential Client using our website decides to proceed with booking one of our services whether by way of a private retainer or an online package advertised on our website.

These terms supersede all previous agreements that we may have entered into with the Client (unless a private retainer is already applicable) and solely refers to the agreement between all Parties providing our services. It prevails over any other terms of business that may be implied or assumed by the Client.

Sense and Forum is responsible for providing services around community, marketing and events for the Clients. The specific services to be provided will be mutually agreed between Sense and Forum and the Client. 

No variation or alteration to these terms shall be valid unless the details of such variation are agreed by Sense and Forum and the Client. A copy of the varied terms will be provided to the Parties stating the date on or after which such varied terms apply.

Client information

As a Client you will need to provide your full name, name of the business, address and email address to Sense and Forum along with your company registration details, if applicable.

The Client must ensure that they keep their details up to date with us at all times. 

Sense and Forum will not be held liable for any inaccuracies or out of date information that could impact on the service being provided to the Client.

Booking requests

The Client must contact Sense and Forum directly  via our website using our Calendly web link in order to make an enquiry about  our services. Sense and Forum will  arrange a discovery call where a pitch/proposal will be provided to the Client on hearing their requirements. There will be a further follow up telephone call for Sense and Forum and the Client to review the pitch/proposal and agreement together. The Client will then be able to either accept or decline the said pitch/proposal.

Sense and Forum agrees to:

(a) reply to the Client on receipt of any queries whether verbally or in writing and will attend all telephone calls booked by the Client via Calendly unless agreed otherwise;;

(b) provide to the Client an agreed fee and pitch/proposal alongside their terms and conditions to perform the contract unless a private retainer is provided to the Client;

(c) behave professionally and politely with the Client and their employees/agents at all times both online and offline from our platform and also, during the performance of our contractual obligations.  

For the avoidance of doubt, Sense and Forum is solely responsible for making arrangements of fee quotes, advising on suitable proposals and pitches and managing any future bookings  with the Client. 

Payments of fees and refunds

The Client will be required to make payment/s for their booked services with us by way of BACS/bank transfer. In very specific circumstances we may exercise our discretion to process payments by other means such as card payments but this cannot be guaranteed.

Under no circumstances whatsoever, will a refund be provided by Sense and Forum to the Client unless specific agreement has been provided by us. 

In the event that a refund is agreed by Sense and Forum, this will be refunded by the original method of payment. All refunds will be processed within 7 days of being approved but it could take a further 3-5 working days for you to receive a refund depending on when the bank releases the funds into your account. This is outside of our control.

Prohibited activities

Use of Sense and Forum’s venue for events by the Client and its employees/agents/guests is prohibited in the following ways (this is not a complete or exhaustive list by any means and is merely a descriptive example):

  1. Conduct that violates any laws, infringes the rights (including the intellectual property rights) of others, is defamatory or otherwise creates liability for Sense and Forum and any associations with the company, whether internally or externally.

  2. Attempting to compromise the integrity or security of our venue in any way.

  3. Harassing, defaming or discriminating against anyone at or associated with Sense and Forum or any entity for any reason including discriminatory language whether verbal, visual or written and/or through the means of social media.

Confidentiality and data protection

All personal data relating to the Parties is confidential and subject to relevant UK Data Protection legislation and GDPR rules. Such data must not be used for any other purpose nor divulged to any third party and all Parties to this contract undertake (i) to abide by the provisions of the Data Protection legislation in receiving and processing data; (ii) not to cause Sense and Forum to breach Data Protection legislation; and (iii) to provide Sense and Forum with any and all information requested in a timely manner to assist with complying with its obligations under the Data Protection legislation including (without limitation) any response to a Data Subject access request made by the Client.

Sense and Forum undertakes that information relating to the Client, which is capable of being confidential must be kept strictly confidential and not divulged to any third party whatsoever, except for information which is or was in the public domain or where it must be disclosed by law or with consent.

Liability

Sense and Forum shall not be liable under any circumstances whether in contract, tort (including negligence), breach of statutory duty, or otherwise for any loss, expense, damage, delay, costs or compensation (whether direct, indirect or consequential) which may be suffered or incurred by the Parties arising from or, in any way, connected with (i) the marketing and/or advertising of a Client and (ii) any act or omission by Sense and Forum and/or the Client (whether wilful, negligent, fraudulent, reckless or otherwise). 

Nothing in these terms shall limit or exclude Sense and Forum’s liability for death or personal injury arising from its own negligence or for any other loss which it is not permitted to be excluded under the laws of England and Wales.

Notice

All notices which are required to be given in accordance with this agreement shall be in writing and may be delivered by email or by first class post to the registered office of the party upon whom the notice is to be served. Any such notice shall be deemed to have been served: if by first class post 48 hours following posting and if by email, when that email is sent instantly (as per the time and date on the sent email).

General

A waiver by Sense and Forum of any right under these terms is only effective if it is confirmed in writing and shall not be deemed to be a waiver of any subsequent breach or default. 

If any of these terms shall be determined by a competent authority to be unenforceable to any extent, such provisions shall, to that extent, be severed from the remaining terms, which shall continue to be valid to the fullest extent as permitted by the applicable laws.

No third party is intended to have any rights under or in connection with these terms and conditions.

On termination of these terms for any reason, clauses which expressly or by implication have effect after termination, shall continue in full force and effect unless agreed otherwise by Sense and Forum.

Sense and Forum may amend these terms and conditions from time to time. The continued access or use of our website and services after such posting confirms agreement to be bound by the terms, as amended.

Governing law and jurisdiction

These terms and any dispute or claim arising out of or in connection with them or their subject matter or formation (including non-contractual disputes or claims), shall be governed by, and construed in accordance with the laws of the UK and the Parties, irrevocably submit to the exclusive jurisdiction of the courts of England and Wales.

Complaints process

We hope that you will be happy with all of our services. In the event that you are unhappy with any of our services or wish to make a complaint or raise a concern, please contact us by emailing Serena Gasparini hello@senseandforum.com so that we can investigate your complaint and/or feedback as soon as possible. We will try our very best to provide you with an amicable resolution, where possible, within 7 days unless it needs further investigation. 

For any queries or feedback concerning the service provided, including requests for refunds of fees, cancellations of bookings and amendments, these must be made directly to Sense and Forum who will be able to assist you.
